Terms and Conditions

1. Service Details

Astellix LLC provides access to its digital platform and associated services (the “Services”), which include but are not limited to streaming, downloading, and viewing of digital content (“Resources”). The Services are made available solely for your personal, non-commercial use, subject to your compliance with these Terms and Conditions and any additional guidelines provided on the platform.

2. Binding Agreement

By creating an account, subscribing to, or using any part of the Services, you enter into a binding agreement with Astellix LLC governed by these Terms and Conditions. You represent that you have the legal capacity to enter this agreement and that you will comply with all applicable laws and regulations.

3. Licensing and Resource Availability

Subject to your compliance with these Terms, Astellix LLC grants you a limited, non-exclusive, revocable license to access and use the Resources solely for personal, non-commercial purposes. You may access Resources through the platform on compatible devices authorized by Astellix LLC. Any attempt to copy, reproduce, distribute, modify, reverse engineer, or otherwise misuse the Resources beyond the scope of this license is strictly prohibited and may result in immediate termination of your access.

You agree not to:

  • Remove, alter, or bypass any digital rights management (DRM), copyright, trademark, or other proprietary notices or protections applied to the Resources.
  • Use any automated means, such as bots or scraping tools, to access or index the Resources without prior written permission.
  • Incorporate Resources into any external hardware or software without express authorization.

4. Customer Care Services

Support services are provided during regular business hours, excluding weekends and public holidays, and include reasonable assistance with technical issues related to the use of the Services. Astellix LLC reserves the right to determine the form, scope, and timing of support. Support may be provided via email, phone, or other communication channels at Astellix LLC’s discretion. Additional equipment or third-party services may be required to fully access certain support offerings. Astellix LLC disclaims any obligation to provide onsite or emergency support unless explicitly agreed upon.

5. Subscription Fees and Payment

By subscribing to the Service, you agree to pay all applicable fees and charges associated with your use of the Platform in accordance with the payment terms presented at the time of purchase. Unless otherwise required by applicable law or expressly stated in a separate policy, all payments are final and non-refundable.

Your subscription will commence immediately upon enrollment and will renew automatically at a rate of $39.99 every 30 days unless and until cancelled. By subscribing to audioshl.com, you authorize recurring charges to your selected payment method in the amount of $39.99 per billing cycle. Prior to each renewal, you will receive an electronic reminder notice approximately 5–7 days before the scheduled charge, and a transaction receipt following each successful payment.

Current subscription pricing and billing information are available within your member account and are also provided in your welcome email.

In the event that a recurring payment cannot be processed, Astellix LLC may, at its sole discretion, attempt to continue your access to the Service by offering a discounted subscription rate. If payment of the discounted rate is also unsuccessful, an administrative fee of up to $3.00 may be applied and additional payment attempts may be made until the applicable subscription fee has been successfully collected.

Astellix LLC shall not be responsible for payment failures, delays, or interruptions resulting from issues with your financial institution, card issuer, payment provider, or selected payment method. You are responsible for ensuring that your payment information remains accurate and up to date. If you experience any billing issues that you believe are attributable to Astellix LLC, please contact our Customer Support team at [email protected].

Charges associated with your audioshl.com membership will appear on your billing statement as audioshl.com.

6. Discontinuation of Service

Astellix LLC reserves the right to suspend, restrict, or terminate your access to the Service at any time, with or without prior notice, if we reasonably believe that you have violated these Terms, engaged in unlawful or fraudulent activity, or otherwise acted in a manner that may harm the Service, its users, or its operations.

Cancellation by You

You may cancel your subscription at any time. If you cancel after a billing cycle has begun, your subscription and access to the Service will remain active until the end of the current paid subscription period, after which your subscription will not renew.

Termination by Astellix LLC

Astellix LLC may modify, suspend, discontinue, or terminate all or part of the Service at any time, including in cases involving non-payment, prolonged inactivity, suspected fraud, misuse of the Service, or violation of these Terms.

Where reasonably practicable, and except where immediate action is required, changes affecting paid subscribers who are not in violation of these Terms will generally take effect at the conclusion of their current subscription period. If Astellix LLC elects to terminate a paid subscription before the end of the applicable billing period for reasons unrelated to a violation of these Terms, an appropriate prorated refund may be provided where required by applicable law.

Effect of Termination

Upon cancellation or termination, your right to access and use the Service will cease at the end of the applicable subscription period or immediately where required under these Terms. Astellix LLC may retain certain account information and records as required by law, for legitimate business purposes, or in accordance with its data retention policies.

Termination or cancellation does not affect any rights, obligations, or liabilities that accrued prior to the effective date of termination, including provisions relating to intellectual property, limitation of liability, indemnification, dispute resolution, and any other provisions that by their nature are intended to survive termination.

7. Refund Procedures

Any eligible refund, less any applicable deductions, will be processed without undue delay and, where required, no later than seven days following receipt of your cancellation request. Refunds will be issued using the same payment method used for the original transaction unless otherwise agreed. Depending on your financial institution or payment provider, it may take up to fourteen days for the refunded amount to appear on your account statement.

Nothing in this section limits or affects any rights or remedies you may have under applicable consumer protection or other mandatory laws.

8. Account Holder Responsibilities

You agree to use the Services lawfully, responsibly, and in accordance with these Terms, including but not limited to:

  • Respecting all intellectual property rights and privacy laws.
  • Not circumventing any technological measures implemented to protect the Resources or Services.
  • Refraining from using unauthorized automated tools to access or extract data from the platform.
  • Avoiding any actions that could introduce viruses, malware, or disrupt the operation of the platform or Services.
  • Not interfering with the experience of other users or compromising security.
  • Abstaining from unauthorized commercial use or redistribution of Resources.
  • Not collecting personal information from others without consent or in violation of Astellix LLC’s Privacy Policy.

You are responsible for maintaining the confidentiality of your account credentials and agree to notify Astellix LLC immediately of any unauthorized use.

9. Service Suspension and Discontinuance

Astellix LLC reserves the right, at its sole discretion and without prior notice, to modify, suspend, or discontinue the Services or your access thereto, either temporarily or permanently. Reasons may include but are not limited to maintenance, security concerns, violation of Terms, or changes in licensing agreements. Suspension or termination for cause (such as breach of Terms) will result in immediate loss of access without refund. In other cases, Astellix LLC may provide prorated refunds, credits, or other compensation at its discretion.

10. Copyright and Usage Rights

All content available through the Services, including but not limited to text, graphics, logos, audio, video, and software, is owned or licensed by Astellix LLC or its licensors and protected under copyright law. Unauthorized use, reproduction, distribution, or creation of derivative works is prohibited. Third-party licensors retain all rights to their content and may enforce these Terms directly.

11. Intellectual Property Marks

Astellix LLC’s trademarks, logos, and service marks are proprietary and protected by law. No license or right to use any trademarks is granted unless explicitly authorized in writing. All other trademarks displayed on the platform belong to their respective owners.

12. Extraordinary Circumstances

Astellix LLC shall not be held liable for delays or failure to perform due to causes beyond its reasonable control, including but not limited to natural disasters, labor disputes, governmental actions, terrorism, internet outages, or other events classified as Force Majeure. Performance obligations affected by such events will be suspended for the duration of the event plus a reasonable recovery period.

13. Warranty Exclusion

The Services and all associated materials are provided “as is” and “as available” without any warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted service. Astellix LLC does not guarantee that the Services will meet your expectations or be free of errors, viruses, or other harmful components. Use of the Services is at your sole risk.

14. Legal Governance and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of St USA. Any disputes arising from or related to these Terms shall be subject to the exclusive jurisdiction of the courts located within St USA. Nothing in these Terms affects your statutory rights as a consumer.
